Agreement to Terms

Welcome to RPMile. These Terms of Service ("Terms") constitute a legally binding agreement between you and Linden Tree One LLC ("RPMile," "we," "us," or "our") regarding your use of the RPMile platform at rpmile.com (the "Platform").

BY USING OUR PLATFORM, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

Platform Description

RPMile is a job matching platform that connects professional CDL (Commercial Driver's License) drivers with trucking companies. Our Platform enables:

  • Drivers to search for companies and submit job applications
  • Companies to search for drivers and send job offers
  • Direct messaging between drivers and companies
  • Profile creation and management for both user types

Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Have legal capacity to enter into binding contracts
  • For drivers: hold a valid CDL license (when seeking employment)
  • For companies: be legally authorized to hire CDL drivers
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

User Accounts

Registration

You may register for an account using:

  1. Phone Number: You will receive SMS verification codes to authenticate your identity
  2. Email Address: You will receive email verification links to confirm your email

Account Types

  • Driver Account: For professional CDL drivers seeking employment
  • Company Account: For trucking companies seeking to hire drivers

You may only create one account per person or company. Multiple accounts for the same entity are prohibited.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your contact information is current and accurate

Phone Number and Email Requirements

  • If you register via phone number, you cannot change your phone number
  • If you register via email, you may change your phone number
  • Email addresses can be changed but require verification
  • You must maintain access to your registered phone or email for account recovery

SMS Communications and Consent

Verification Messages

BY PROVIDING YOUR PHONE NUMBER DURING REGISTRATION OR LOGIN, YOU EXPRESSLY CONSENT TO RECEIVE SMS TEXT MESSAGES FROM RPMILE.

These SMS messages will:

  • Contain 4-digit verification codes for account authentication
  • Be sent automatically when you request to log in or register
  • Be delivered through our service provider, Twilio
  • Be used solely for account security and authentication purposes
  • Not be used for marketing, promotional, or other non-essential purposes

SMS Terms

  • Message Frequency: You will receive SMS messages each time you log in or register using your phone number
  • Cost: Standard message and data rates from your mobile carrier may apply. We do not charge for messages, but your carrier may.
  • Carrier Liability: We are not liable for any delays in the receipt of SMS messages as message delivery is subject to effective transmission from your mobile carrier
  • Supported Carriers: Our SMS service works with major US mobile carriers. Service availability may vary by carrier and location.

Opting Out

Because SMS verification codes are essential for account security when using phone-based authentication:

  • You cannot opt out of verification messages if using phone-based login
  • Alternative: You may use email-based registration and login instead
  • To stop receiving messages permanently, you must delete your account

User Obligations and Conduct

Drivers Must:

  • Provide truthful information about qualifications and experience
  • Hold a valid CDL license when applying for positions
  • Respond professionally to company communications
  • Not misrepresent credentials or experience level

Companies Must:

  • Be legitimate trucking companies with valid MC Numbers
  • Provide accurate information about job opportunities
  • Comply with employment laws and regulations
  • Not discriminate in hiring practices
  • Honor job offers and commitments made through the Platform

All Users Must Not:

  • Use the Platform for illegal activities
  • Harass, abuse, or harm other users
  • Post false, misleading, or fraudulent information
  • Attempt to access other users' accounts
  • Use automated systems (bots) to access the Platform
  • Scrape, copy, or collect user data without permission
  • Interfere with Platform functionality or security
  • Impersonate any person or entity
  • Upload viruses or malicious code
  • Violate any applicable laws or regulations

Content and Communications

User-Generated Content

You are solely responsible for:

  • All content you submit to the Platform (profile information, messages, applications, offers)
  • Ensuring your content does not violate any laws or third-party rights
  • The accuracy and completeness of your profile information

License to RPMile

By posting content on our Platform, you grant RPMile a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Platform.

Prohibited Content

You may not post content that:

  • Is illegal, defamatory, or infringes on others' rights
  • Contains confidential or proprietary information without authorization
  • Is discriminatory, harassing, or threatening
  • Contains viruses or malicious code
  • Violates any laws or regulations

Monitoring and Removal

We reserve the right, but have no obligation, to:

  • Monitor user content and communications
  • Remove content that violates these Terms
  • Suspend or terminate accounts for violations
  • Report illegal activities to law enforcement

Job Applications and Offers

Applications (Drivers)

When you submit an application to a company:

  • Your full profile becomes visible to that company
  • You can submit only one application per company
  • Applications cannot be withdrawn once submitted
  • Companies may accept, reject, or contact you regarding your application

Job Offers (Companies)

When you send a job offer to a driver:

  • You commit to the terms stated in the offer
  • The offer includes compensation amount, payment type, and job details
  • Drivers may accept or reject your offer
  • You may send multiple offers to the same driver over time

No Employment Relationship

IMPORTANT: RPMile is a job matching platform only. We:

  • Do not employ drivers or provide employment services
  • Are not responsible for employment decisions
  • Do not guarantee job placement or hiring
  • Are not liable for disputes between drivers and companies
  • Do not verify driver credentials or company legitimacy beyond basic information

All employment relationships are solely between drivers and companies. Each party is responsible for conducting their own due diligence, background checks, and compliance with employment laws.

Messaging and Privacy

Direct Messaging

Our Platform enables direct communication between drivers and companies:

  • Messages are private between the two parties
  • Conversation history is maintained
  • You can attach documents to messages
  • Messages are delivered in real-time

Privacy Protections

  • Driver names are hidden from companies until job offers are accepted or applications are submitted
  • Contact information is shared only between matched parties
  • We do not share your information with third parties for marketing purposes
  • Review our Privacy Policy for complete information handling practices

Fees and Payments

Current Service

RPMile is currently free to use for both drivers and companies. We reserve the right to:

  • Introduce fees for certain features in the future
  • Require payment for premium services
  • Modify our fee structure with advance notice

Payment Processing

If we introduce paid services:

  • Payments will be processed through secure third-party providers
  • You agree to provide accurate payment information
  • All fees are non-refundable unless otherwise stated
  • You are responsible for all taxes associated with your use

Intellectual Property

RPMile's Property

The Platform and its contents, including but not limited to:

  • Text, graphics, logos, images, and software
  • The RPMile name, logo, and trademarks
  • Platform design, layout, and compilation

are owned by or licensed to RPMile and protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. This license does not include:

  • Commercial use without our permission
  • Modification, copying, or distribution of Platform materials
  • Reverse engineering of our software
  • Use of our trademarks without authorization

Disclaimers

Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding availability, accuracy, or reliability
  • Warranties that the Platform will be error-free or uninterrupted
  • Warranties regarding user-generated content accuracy

No Verification

We do not:

  • Verify driver credentials, licenses, or qualifications
  • Confirm company legitimacy, MC Numbers, or business status
  • Guarantee the accuracy of user-provided information
  • Conduct background checks on users
  • Verify employment or compensation claims

YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY INFORMATION AND CONDUCTING YOUR OWN DUE DILIGENCE.

Third-Party Services

We use third-party services (including Twilio for SMS) but are not responsible for:

  • Service interruptions or failures
  • Third-party terms and policies
  • Security of third-party services
  • Delays in message delivery

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No Liability for Damages

RPMILE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Damages resulting from use or inability to use the Platform
  • Damages from user conduct or content
  • Damages from employment relationships or hiring decisions
  • Damages from unauthorized access to your account
  • Damages from SMS message delays or failures

Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid to us in the 12 months preceding the claim, OR
  • $100 USD

Jurisdictional Variations

Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless RPMile, Linden Tree One LLC, and our officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you submit to the Platform
  • Your employment relationships or hiring decisions
  • Disputes with other Platform users

Termination

By You

You may delete your account at any time through your profile settings. Upon deletion:

  • Your access to the Platform will be terminated
  • Your profile information will be removed
  • Your data will be handled according to our Privacy Policy

By Us

We may suspend or terminate your account immediately, without notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse other users
  • Attempt to harm the Platform
  • Use the Platform in ways we determine inappropriate

Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • We may delete your account and content
  • Sections of these Terms that by nature should survive (including disclaimers, limitations of liability, and indemnification) will continue to apply

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Informal Resolution

Before filing any legal claim, you agree to contact us at support@rpmile.com, ceo@rpmile.com or oleh.romashkin@gmail.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

If we cannot resolve a dispute informally, you agree that any dispute will be resolved through binding arbitration rather than in court, except:

  • Small claims court actions
  • Disputes regarding intellectual property
  • Claims for injunctive relief

Arbitration Rules:

  • Conducted by the American Arbitration Association (AAA)
  • Governed by AAA's Consumer Arbitration Rules
  • Held in Orlando, Florida or your location if mutually agreed
  • Decided by a single arbitrator
  • Arbitrator's decision is final and binding

Class Action Waiver: YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property infringement
  • Unauthorized access or use
  • Violations requiring immediate action

Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO A JURY TRIAL FOR ANY DISPUTES ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RPMile regarding your use of the Platform.

Modifications

We may modify these Terms at any time by:

  • Posting updated Terms on the Platform
  • Updating the "Last Updated" date
  • Notifying you via email or Platform notification (for material changes)

Your continued use after changes become effective constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without your consent.

No Partnership

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and RPMile.

Force Majeure

We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Export Controls

You agree to comply with all applicable export and import control laws and regulations in your use of the Platform.

Survival

Sections that by their nature should survive termination (including but not limited to disclaimers, limitations of liability, indemnification, and dispute resolution) will survive termination of these Terms.

California Users

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice:
